Can Artificial Intelligence Accurately Review and Compare a Sale Deed Draft?

In the ever-evolving world of real estate, adopting technology is reshaping traditional practices, improving efficiency, and reducing human error. One such advancement that is gaining significant traction is the application of artificial intelligence (AI) in legal document drafting and review – particularly drafting and reviewing Sale deeds

UNDERSTANDING THE IMPORTANCE OF A SALE DEED

A sale deed is one of the most important documents in a real estate transaction. It is the legal proof of ownership transfer from the seller to the buyer and must be drafted precisely. Hence, the review process is traditionally handled by experienced legal professionals. However, AI is now emerging as a powerful assistance in this domain.

OUR AI EXPERIMENT:

We recently drafted a Sale Deed and sought a reliable method to review it for accuracy and consistency – specifically, to compare it against the registered Sale Deed of the seller. We used AI to perform this review, and the results were both precise and insightful.

Not only did the AI identify errors, but it also provided explanations and detailed recommendations for corrections.

What was particularly impressive is that the seller’s deed was in Kannada, while the draft was in English. Despite the language difference, the AI effectively cross-referenced the content in both the documents and delivered a thorough comparative analysis.

Below is the review and comparison request I submitted to AI

KEY HIGHLIGHTS FROM THE AI REVIEW

  1. TITLE CONFIRMATION & OWNERSHIP CHAIN

The AI compared the crucial registration details, including

  • Seller’s name
  • Registration Date
  • Document Number
  • CD Number
  • Date of Registration
  • Name of the sub-registrar office where the original Deed was registered

This ensured alignment between the existing deed and the new draft. Refer to the image below for a detailed comparison

2. PROPERTY DESCRIPTION AND MEASUREMENT

The seller originally purchased a 600 sq.ft plot in 2014 and constructed a house with a 2,400 sq.ft build-up area in 2018

The AI correctly identified this discrepancy:

  • The original deed references 600 sq. ft. of land
  • The draft Sale Deed references 2,400 Sq.ft of build-up area.

The AI rightly recommended obtaining documents such as:

  • Building Plan Approval
  • Occupancy Certificate

This demonstrates AI’s capability to intelligently analyze discrepancies and suggest essential legal documents. Refer to the image for the AI’s reasoning

3. LEGAL AND DRAFTING OBSERVATIONS

The AI flagged several key issues, including

  • Terminology inconsistencies
  • Incomplete payment terms
  • Errors in the possession clause
  • Miscellaneous drafting corrections

Refer to the issues in the image below

RECOMMENDATIONS:

Beyond the basic review, the AI recommended the inclusion of additional elements

  • Building status: Construction year, approval details, and BBMP endorsement (e.g., e-khata)
  • Fixtures and Fittings: Furniture and Electrical fittings, etc
  • Tenancy Status: Declaration of vacant possession or existing tenancy
  • Encumbrance Certificate: Mortgage or lien release certificate

See the image below for recommendation details

SUMMARY TABLE

The AI summarizes all findings and recommendations in a clear, concise table, making it easier to visualize the updates needed. See the summary in the image below

UPDATED DRAFT

We then requested the AI to incorporate the suggested correction and generate an updated Sale Deed draft. Refer to the updated draft image below

CONCLUSION: A SMART, EFFICIENT SOLUTION

This experiment showcased how AI can significantly enhance the review process of legal documents like Sale deeds. From cross-language comparison to insightful legal suggestions, AI proved to be a smart and efficient assistance.

How Can AI Simplify the Process of Drafting a Sale Deed?

Drafting a sale deed can be a daunting task, especially if you are not familiar with legal documentation. Fortunately, advancements in AI have made this process more accessible, efficient and cost-effective. In this blog, I will walk you through the steps to draft a Sale Deed using AI, share my experience with tools like ChatGPT and Deepseek, Grok and provide tips to ensure accuracy.

UNDERSTANDING THE STRUCTURE OF A SALE DEED

Before diving into AI drafting, it is essential to understand the structure of Sale Deed. This knowledge will help you review and validate the AI-generated draft. A typical sale deed includes the following section:

  • Title: Clearly states that the document is a “Sale Deed”
  • Execution Date and Place: The date and location where the deed is executed
  • Parties Involved: Names, Ages, and address of the Buyer & Seller
  • Transaction History: Details of past ownership, including the sub-registrar office name where the property was registered, Book number, document number, year of registration, and date of registration
  • Consideration Amount: The total sale price of the property
  • Payment Terms Mode of payment, Date of payment, transaction reference numbers and any installment details.
  • Terms & Conditions: Clauses related to encumbrance, indemnity, possession delivery, cancellation, and dispute resolution
  • Property Schedule: Detailed description of the property, including flat number, block, apartment name, village, taluk, hobli, measurement, ekhata number and boundaries
  • Signatures: Signature of the Seller, Buyer, and two witnesses

Also, sharing the Sale Deed template below for your reference:

Having this structure in mind will help you to review the AI-generated draft.

DOCUMENTS REQUIRED FOR DRAFTING A SALE DEED USING AI

To draft a Sale Deed using AI, you will need the following documents:

  • Seller’s Registered Deed: The document through which the seller acquired the property.
  • Property Tax Receipt: Proof of tax payment for the property
  • ekhata: A legal document that records property details and ownership
  • Seller’s ID Proof: Government-issued identification (Eg: Aadhaar, PAN, or Passport)
  • Buyer’s ID Proof: Same as above
  • Two witnesses’ ID Proof: Government-issued identification (Eg: Aadhaar)
  • Sale Deed Template: A standard format to guide the AI

ORGANIZING YOUR FILES FOR AI DRAFTING:

Proper file organization is crucial for seamless AI drafting. Follow the below steps:

  • Combine Pages: Merge all pages of the sale deed into a single PDF instead of uploading individual pages
  • Unlock Protected Files: If your ekhata or other documents are password-protected, unlock them before uploading. (multiple online tools are available to unlock the protected files)
  • Optimize File Size: Ensure the file size is minimal without compromising readability (overall file size should not exceed 20MB)
  • Name Files Clearly: Use descriptive file names

For example, refer to the below files that we organized

USING AI TOOLS FOR DRAFTING:

We did the following steps to draft a Sale Deed using AI

Step 1: Upload Documents:

Initially, we used the ChatGPT. We uploaded the Seller’s Registred Deed, Tax receipt, ekhata, ID Proofs, and Sale Deed Template. Refer to the below image

Step 2: Provide instructions:

I instructed the AI to draft an Absolute Sale Deed and follow the format in the provided template. Refer to my instructions in the below image

Step 3: Review the AI-Generated Draft

First and foremost, I am impressed by how AI efficiently extracts data from documents and integrates it into the draft in the right place.

Sharing the draft of the Sale Deed below, which was generated in ChatGPT

Deepseek Drafting:

We also experimented with Deepseek’s drafting capabilities, and I must say, I am even more impressed. Deepseek not only extracted the data from the documents and seamlessly integrated it into the draft but also maintained the structure exactly as per the template. My template spans 8 pages, and Deepseek maintained the same length and detail. In contrast, while ChatGPT covered all the key points, it condensed the draft to 3–4 pages, which didn’t meet my need for a comprehensive and detailed draft.

In the below image, refer to my instructions in Deepseek

Refer to the draft that we generated in Deepseek

We also experimented with the Grok model and this model is not processing multiple files at the same time. However, this model is great for draft analysis and reasoning

Refer to the highlight in the below image

MY LEARNINGS:

  • Efficiency: Drafting a Sale Deed using AI is significantly faster and more cost-effective than manual drafting
  • Accuracy: While AI tools like Deepseek and ChatGPT are impressive, they are not perfect. I had to manually correct a few errors, such as misplaced clauses and formatting issues.
  • Accessibility: AI tools make legal drafting accessible to non-professionals, but they should be used as a starting point rather than a final registration

What is Sale Deed Number? How to find it on the sale deed?

A sale deed is a crucial legal document that serves as evidence of the sale and transfer of property ownership from the seller to the buyer. Every sale deed is assigned a unique registration number, also known as a sale deed number, document number, or registration number, which is generated during property registration.

Where to Find the Sale Deed Number?

The sale deed number is typically found at the top of the sale deed document. It is also recorded in the Encumbrance Certificate (EC) in the following format:

“Sub-registrar office name – Book number – Document number – Year of registration”

Example of a Sale Deed Number

Let’s consider a real-life example:

A property was registered at the Jayanagar Sub-Registrar Office in Bangalore with the following registration number:

📌 JAY-1-0568X-2020–21

Here’s a breakdown of the sale deed number:

  • JAY – Represents the Jayanagar Sub-Registrar Office (Each sub-registrar office has a unique short code).
  • 1 – Indicates that the document is stored in Book 1.
  • 0568X – This is the unique document number.
  • 2020–21 – Denotes the year of registration.

To help you locate the sale deed number, we have highlighted it in a sample sale deed and encumbrance certificate below.
